1. Introduction

Welcome to Easy QR Codes. These Terms of Service ("Terms") govern your access to and use of the Easy QR Codes website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

The Service is operated by Easy QR Codes ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service following any modifications constitutes your acceptance of the modified Terms.

2. Definitions

For the purposes of these Terms:

  • "Account" means a unique account created for you to access our Service or parts of our Service.
  • "Content" refers to any text, images, videos, QR codes, or other materials that you upload, create, or transmit through the Service.
  • "Device" means any device that can access the Service, such as a computer, mobile phone, or tablet.
  • "QR Code" refers to Quick Response codes generated through our Service, including both static and dynamic QR codes.
  • "Service" refers to the Easy QR Codes website, applications, and all related services, features, and functionality.
  • "Subscription" means the paid plan you select to access premium features of the Service.
  • "User" refers to the individual or entity that has created an Account and is using the Service.

3. Account Terms

3.1 Account Creation

To use certain features of the Service, you must create an Account. When creating an Account, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms.

3.2 Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your Account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.

3.3 Account Requirements

  • You must be at least 18 years old to create an Account.
  • You must be a human; Accounts registered by bots or automated methods are not permitted.
  • You may not have more than one free Account.
  • You are responsible for all Content posted and activity that occurs under your Account.

3.4 Team Accounts

If you create a team or organization Account, you represent that you have the authority to bind that organization to these Terms. The organization is responsible for all activity under the team Account and must ensure all team members comply with these Terms.

4. Acceptable Use

4.1 Permitted Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for its intended purpose of creating, managing, and tracking QR codes.

4.2 Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable federal, state, local, or international law or regulation.
  • Create QR codes that link to malicious, fraudulent, or deceptive content.
  • Transmit any viruses, worms, or other malicious code.
  • Engage in any activity that interferes with or disrupts the Service.
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks.
  • Use the Service for any form of spam, phishing, or unsolicited advertising.
  • Infringe upon or violate the intellectual property rights of others.
  • Harass, abuse, or harm another person or group.
  • Impersonate or attempt to impersonate Easy QR Codes, an employee, another user, or any other person or entity.
  • Use the Service in any way that could damage, disable, overburden, or impair the Service.

4.3 Content Standards

All Content you create or upload must comply with applicable laws and must not contain any material that is defamatory, obscene, threatening, or otherwise objectionable. We reserve the right to remove any Content that violates these Terms.

5. Payment Terms

5.1 Pricing

We offer various subscription plans with different features and pricing. All prices are listed in US dollars unless otherwise specified. We reserve the right to modify our pricing at any time with reasonable notice to subscribers.

5.2 Billing

For paid subscriptions, you agree to pay the applicable fees on a recurring basis (monthly or annually, depending on your selected plan). Billing occurs at the beginning of each billing period. All fees are non-refundable except as expressly set forth in these Terms.

5.3 Free Trial

We may offer a free trial period for new subscribers. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

5.4 Cancellation

You may cancel your subscription at any time through your Account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds will be issued for partial billing periods.

5.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, we may suspend or terminate your access to the Service.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Easy QR Codes and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.2 Your Content

You retain all rights to the Content you create or upload to the Service. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the Content solely for the purpose of providing the Service.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without compensation to you.

7. Termination

7.1 Termination by You

You may terminate your Account at any time by contacting us or through your Account settings. Upon termination, your right to use the Service will immediately cease.

7.2 Termination by Us

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

7.3 Effect of Termination

Upon termination of your Account, we may delete your Content and data. We are not obligated to retain or provide you with copies of your Content after termination. All provisions of these Terms that should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Easy QR Codes, its subsidiaries, affiliates, and licensors do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location.
  • Any errors or defects will be corrected.
  • The Service is free of viruses or other harmful components.
  • The results of using the Service will meet your requirements.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASY QR CODES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in a class action lawsuit.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.

We encourage you to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.

12. Scanner Data & Your Responsibilities as a Data Controller

When an end-user scans one of your QR codes, we act as a data processor on your behalf with respect to the scan event and, where applicable, the device fingerprint we collect (described in our Privacy Policy). You are the data controller for this data under the GDPR and analogous regulations.

By creating a QR code on the Service, you represent and warrant that:

  • You have a lawful basis for causing the scan telemetry described in our Privacy Policy to be collected from scanners of your QR codes, and that this basis is appropriate for the jurisdictions in which your QR codes are likely to be scanned.
  • Where your scanners are protected by laws requiring consent before device fingerprinting (notably the GDPR, UK GDPR, ePrivacy Directive, and Swiss FADP), you rely on the consent banner and related signals we surface to scanners, or you have obtained equivalent consent through your own means before deploying the QR code.
  • You will not use the Service to collect special categories of personal data (Art. 9 GDPR) or data from children under 13 (COPPA) without separately obtained explicit consent.
  • You will honor scanner rights of access, deletion, and portability that reach you directly, and will cooperate with us in honoring requests that reach us.

We reserve the right to suspend or terminate QR codes that we reasonably believe are being used to collect data from scanners in a way that violates applicable law or this agreement, without notice where a regulatory complaint or security incident compels immediate action.
